Terms of Service

Definitions

  • Deliverables: The final edited video(s) as specified in the Quote or Statement of Work (SOW).
  • Revisions: Minor adjustments such as text or video clip changes, colour correction, or trimming. Revisions do not include full re-edits, re-shoots, or new creative directions.
  • Final Delivery: The point at which the Deliverables are supplied to the Client in the agreed format(s).

Quotes & Acceptance

Quotes are valid for 14 days unless stated otherwise. A quote is accepted by written confirmation, an email reply stating "accepted" is sufficient, at which point an invoice is issued and these terms apply. Work, dates and Deliverables are those set out in the accepted quote.

For campaigns involving a shoot, a 50% deposit is invoiced on acceptance and secures the shoot date; the balance is invoiced on delivery. Deposits are transferable to a new date where a booking is moved 14 or more days before the shoot; cancellations within 14 days of the shoot forfeit the deposit.

Scope of Services

Peak Media Limited agrees to provide the following, as detailed in the Quote or SOW:

  • ·On-location filming
  • ·Post-production and editing
  • ·Final delivery of video in 4K and/or 1080p, as specified
  • ·One round of client revisions included

Additional services (e.g., drone shots, extra edits, custom dimensions, scriptwriting, concept development, talent sourcing) can be provided at extra cost or subject to mutual agreement in the quotation.

Peak Media Limited retains creative and editorial control unless otherwise agreed in writing.

Campaign Delivery & Publishing

  • ·Every campaign quote includes a publishing plan: which Deliverables to publish, on which channels, on what dates and at what times, with recommended captions.
  • ·The Client may publish the Deliverables themselves following the plan, or have Peak Media Limited publish as a collaborator post via the Peak Media account, so it appears on both profiles, for an additional quoted fee.
  • ·Campaign results depend on the plan being followed. Where Deliverables are not published, are published outside the recommended schedule, or are altered before publishing, Peak Media Limited accepts no responsibility for reach, engagement or other outcomes.
  • ·Peak Media Limited will deliver to the agreed schedule or agree a revised schedule with the Client in writing.
  • ·Deliverables are to be published as supplied. Any re-edit or combination with other material is subject to the Intellectual Property & Licensing section below, including the clause on AI-generated content.

Publishing From Original Files

Deliverables must be published only from the original files supplied via Google Drive or the Peak Media client server. Publishing any re-compressed or degraded copy (for example a version forwarded through WhatsApp or another messaging app, a screen recording, or a download from a social platform) is a breach of the licence: degraded copies misrepresent the quality of the work and damage both brands.

Where a degraded copy is published, the Client must remove it and republish from the original within two working days of Peak Media Limited's request. Peak Media Limited may require its credit to be removed from any degraded copy, will not treat such publication as delivery of the campaign, and may withdraw the licence for repeated breaches.

Where the Client prefers, Peak Media Limited will publish the content as a collaborator post via the Peak Media account, so it appears on both profiles from the original file, for a quoted fee.

Music & Sound

  • ·Music is agreed at the brief stage. The Client may state a preferred track or style before editing begins; otherwise Peak Media Limited selects and licenses music to suit the footage and cuts the edit to it.
  • ·Any music supplied by the Client must be properly licensed by the Client for the intended use; Peak Media Limited accepts no liability for Client-supplied music.
  • ·Deliverables are edited to the agreed music. Replacing or muting the music after delivery alters the Deliverable and falls outside the licence; a re-edit to different music is an additional edit, quoted separately.

Turnaround Time

A typical 30 second video requires 1 to 2 hours of filming plus one full working day post-production. Videos are generally completed within 3 to 5 days of filming.

Expedited delivery (within 48 hours of filming) is available for an additional fee requiring overtime.

Please review drafts promptly, ideally within one working day, so the campaign stays on schedule. If no feedback is received within 7 days of draft delivery, the draft is deemed approved and final; any changes requested after that point are treated as additional edits and quoted separately. Late feedback extends delivery dates accordingly.

Fees & Payment Terms

  • ·Balance: Due upon final delivery.
  • ·Late Payments: Overdue invoices accrue interest under the European Communities (Late Payment in Commercial Transactions) Regulations 2012 (S.I. No. 580/2012), calculated at the European Central Bank's reference rate plus 8 percentage points, together with the fixed compensation for recovery costs prescribed by those Regulations. Peak Media Limited may also recover reasonable additional recovery costs actually incurred, as permitted by the Regulations.
  • ·Ownership: Client's licence to use Deliverables is granted only upon full payment, unless otherwise agreed in writing.

Invoices are payable by bank transfer within 7 days of issue unless the quote states otherwise. Peak Media Limited may withhold delivery of files, publishing, and further work while any invoice is overdue.

Cancellation & Rescheduling

  • ·Cancellation more than 14 days before shoot: Deposit is transferable to rescheduled shoot.
  • ·Cancellation within 14 to 7 days before shoot: Deposit is non-refundable; Client must pay 50% of total project fee.
  • ·Cancellation within 7 to 2 days before shoot: Client must pay 75% of total project fee.
  • ·Cancellation within 48 hours before shoot: Client must pay 100% of total project fee.

Inclusions & Additional Costs

The quoted price includes:

  • ·On-location filming
  • ·Travel expenses
  • ·Post-production and editing
  • ·Final delivery
  • ·One client revision round

Any additional requirements not included in the original quote will be added to the final invoice.

Delivery & Archiving

Delivered formats are in 1080p and/or 4K, optimised for various platforms (social media, website, etc.). Custom dimensions are available upon request.

Deliverables are supplied via secure online transfer (Dropbox, Google Drive, or WeTransfer), or on physical media where quoted. Download links remain active for 28 days. Client is responsible for downloading and backing up copies within that window; re-supply after it may be charged.

Deliverables are the finished, edited assets specified in the quote. Raw and unedited footage is not a deliverable and remains the property of Peak Media Limited, retained for 6 months after project completion. A licence for the raw archive is available separately, subject to a raw archive licence fee. Publishing content built from the archive without Peak Media credit is additionally subject to the white-label fee.

Drone Usage (If Applicable)

Drone videography and photography services are available subject to airspace and weather conditions. Drone footage will be captured only if filming is not in restricted airspace. All drone operations are conducted by an IAA-registered remote pilot operating under Peak Media Limited, with public liability insurance covering RPAS operations, in compliance with EU Regulation 2019/947 and the Air Navigation (Remotely Piloted Aircraft Systems) Order 2022 (SI 5/2022).

Attribution & Credit

Unless ownership is specifically transferred in the contract, copyright remains with Peak Media Limited. Usage rights are granted as per quote. Client must credit Peak Media Limited when sharing content:

  • ·Instagram Reels: Tag Peak Media Limited as a collaborator
  • ·TikTok: Attribute Peak Media Limited in the main caption
  • ·YouTube: Include credit in description
  • ·Facebook: No attribution required (unless arrangement differs)

If Client prefers no credit appear, this must be agreed in the quotation and will incur an additional fee.

Peak Media Limited may use excerpts of the work for portfolio, social media, and marketing.

Intellectual Property & Licensing

Peak Media Limited retains copyright in all footage and edits created. Client is granted a non-exclusive, non-transferable licence to use Deliverables for purposes outlined in the Quote or SOW.

The Client's licence covers the Deliverables as supplied. Any use beyond this scope, including extracting clips, re-editing, or combining Deliverables into new content, requires additional licensing fees and written approval, or a commissioned edit from Peak Media Limited.

Deliverables and any footage supplied by Peak Media must not be combined with, edited into, or used alongside AI-generated imagery, video, audio or other AI-generated assets in any published content, and must not be used to train, fine-tune or prompt any AI system. This protects the integrity of the work and of both parties' brands. Any such use is a breach of the licence.

Liability & Insurance

To the fullest extent permitted by applicable law, Peak Media Limited shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the Client's use of or reliance on Deliverables produced under this agreement. Peak Media Limited's total aggregate liability for any claim arising from this agreement shall not exceed the total fees paid by the Client under this agreement.

Nothing in these Terms limits or excludes liability for death or personal injury caused by Peak Media Limited's negligence (Civil Liability Act 1961, s.46), for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited under Irish law.

Peak Media Limited shall not be held responsible for delays caused by weather, location restrictions, third-party actions, illness, or equipment failure beyond reasonable control. In such cases the shoot will be rescheduled at no penalty to either party.
